Description of Common Stock
Watson Wyatt has two classes of common stock: class A and class B-2. The class A common stock is entitled to one vote for each share of common stock held on all matters submitted to a vote of stockholders. The class A common stock is freely transferable, except for certain shares held by major stockholders, executive officers, employees, directors and affiliates. The class B-2 common stock is entitled to one vote for each share of common stock held on all matters submitted to a vote of shareholders. The class B-2 shares are not transferable for the 24 months following the October 11, 2000, offering of such shares, unless waived by the board of directors. Following the expiration or waiver of the restriction period, the class B-2 shares will automatically convert into class A common stock.

Watson Wyatt currently intends to retain its future earnings to finance the operation and expansion of its business, and Watson Wyatt does not anticipate paying cash dividends on its common stock in the foreseeable future. Any future determination as to the payment of dividends will be at the discretion of the board of directors.
